1. Scope of This Agreement
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and DC Energy Intelligence ("Platform," "we," "us," or "our"), governing your access to and use of the DC Energy Intelligence Platform available at dcenergy.tech, including all associated tools, features, content, and services. By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you must discontinue use of the Platform immediately.
2. Definitions
For the purposes of these Terms, the following definitions apply:
- "Platform" refers to the DC Energy Intelligence web application, including the analysis generator, deep analysis workspace, framework documentation, service catalog, and all related tools and interfaces.
- "Services" refers to the data center energy optimization analysis request generation, AI-powered deep analysis (MPPT), document processing, decision agent functionality, and any other features provided through the Platform.
- "User Content" refers to any data, documents, files, parameters, prompts, or other information that you upload, submit, or input into the Platform.
- "Generated Output" refers to analysis requests, reports, recommendations, branch analyses, quantum rankings, and any other content produced by the Platform in response to User Content.
3. Eligibility
You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, whichever is greater, to use this Platform. By using the Platform, you represent and warrant that you possess the legal capacity to enter into this agreement and that you are not barred from using the Platform under any applicable law.
4. Description of Services
The Platform provides data center energy optimization analysis tools, including structured analysis request generation across eight service categories (Energy Visibility, Cooling Intelligence, Workload Optimization, Forecasting and Planning, Anomaly Detection, Economic Intelligence, Sustainability and Compliance, and Human Intelligence). The Platform also provides an AI-powered deep analysis workspace utilizing Multi-Phase Parallel Processing Technology for comprehensive, long-form analysis with document upload capabilities, multi-branch processing, and decision agent functionality.
All Generated Output is intended as an informational and planning tool. Generated Output does not constitute professional engineering advice, certified energy audits, regulatory compliance certifications, or guaranteed performance assessments. Users bear sole responsibility for validating all Generated Output against their specific operational requirements before implementation.
5. Acceptable Use
You agree to use the Platform solely for lawful purposes and in accordance with these Terms. You shall not:
- Use the Platform for any purpose that violates applicable local, state, national, or international law or regulation.
- Attempt to gain unauthorized access to any portion of the Platform, other accounts, computer systems, or networks connected to the Platform.
- Use automated scripts, bots, scrapers, or similar tools to access, extract, or interact with the Platform without prior written authorization.
- Transmit any malicious code, viruses, or other harmful components through the Platform.
- Upload fraudulent, misleading, or deliberately inaccurate data with the intent to manipulate analysis outputs.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Platform.
- Interfere with or disrupt the integrity or performance of the Platform or the data contained therein.
- Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
- Use the Platform to generate content that infringes upon the intellectual property rights of any third party.
We reserve the right to suspend or terminate access for any User who violates these provisions, at our sole discretion and without prior notice.
6. User Content and Data
You retain all ownership rights in User Content that you submit to the Platform. By uploading or submitting User Content, you grant us a limited, non-exclusive, royalty-free license to process, analyze, and store such content solely for the purpose of providing the Services to you. We do not claim ownership of User Content, and we will not use User Content for any purpose other than delivering the requested Services.
You represent and warrant that you have all necessary rights, permissions, and authorizations to submit User Content to the Platform, and that such submission does not violate any third-party rights, confidentiality obligations, or applicable laws.
7. Intellectual Property
The Platform, including its design, architecture, user interface, documentation, branding, logos, and all underlying technology, is the exclusive property of DC Energy Intelligence and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Platform beyond the limited right to use it in accordance with these Terms.
Generated Output produced through the Platform may be used by you for your internal business purposes. However, the underlying analytical frameworks, processing methodologies, and system architecture remain our proprietary property.
8. Disclaimer of Warranties
THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE EXPRESSLY DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that: (a) the Platform will operate uninterrupted, securely, or free from errors; (b) Generated Output will be accurate, complete, reliable, or suitable for any particular purpose; (c) defects will be corrected within any specific timeframe; or (d) the Platform will meet your specific requirements or expectations. No advice or information, whether oral or written, obtained from us or through the Platform creates any warranty not expressly stated in these Terms.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DC ENERGY INTELLIGENCE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE PLATFORM EXCEED THE AMOUNT YOU PAID TO US, IF ANY, DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED UNITED STATES DOLLARS (USD $100.00), WHICHEVER IS GREATER.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
10. Indemnification
You agree to indemnify, defend, and hold harmless DC Energy Intelligence, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any User Content you submit through the Platform.
11. Third-Party Services and Links
The Platform may contain links to third-party websites, services, or resources that are not owned or controlled by us. We do not endorse and are not responsible for the content, privacy policies, or practices of any third-party websites or services. Your interactions with third-party services are governed solely by the terms and policies of those third parties. We bear no liability for any damage or loss caused by or in connection with the use of any third-party content, goods, or services.
12. Modifications to Terms and Services
We reserve the right to modify these Terms at any time at our sole discretion. When we make material changes, we will update the "Effective Date" at the top of this page. Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of such changes. If you do not agree to the modified Terms, you must discontinue use of the Platform.
We further reserve the right to modify, suspend, or discontinue the Platform or any part thereof, temporarily or permanently, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform.
13. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.
14. Dispute Resolution
Prior to initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us through the channels listed below. If the dispute is not resolved within thirty (30) days of initial contact, either party may proceed with formal legal action in accordance with the governing law and jurisdiction provisions above.
15. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the remaining provisions, which shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
16. Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, and Disclaimer, constitute the entire agreement between you and DC Energy Intelligence regarding the use of the Platform and supersede all prior agreements, understandings, and communications, whether written or oral.
